Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") are an agreement between you and RiteScout AI Solutions, a company based in New Jersey, USA ("RiteScout AI Solutions", "we", "us"), governing your use of OneClickEbay at home.oneclickebay.com and oneclickebay.com (the "Service"). By creating an account or using the Service you agree to these Terms and our Privacy Policy. If you use the Service for an organization, you represent that you may bind it. You must be at least 18 years old.

2. Accounts

You must provide accurate information and keep your credentials confidential. You are responsible for all activity under your account and for the users you invite. Tell us promptly at info@shipdad.com if you suspect unauthorized access.

3. Subscriptions, billing and free trial

The Service is offered under paid plans (Starter, Growth, Pro and Enterprise), billed monthly or yearly. New accounts receive a 14-day free trial. The trial is limited to one free trial per organization. Unless you cancel before the trial ends, your subscription begins and your payment method is charged.

Subscriptions renew automatically for the same billing period until you cancel. You can cancel at any time, and cancellation takes effect at the end of the current billing period. Fees are non-refundable except as stated in our Refund Policy or required by law. We may change prices on notice before your next renewal. Taxes are your responsibility.

4. Acceptable use

You agree not to:

• violate any law or third-party right;
• list prohibited, counterfeit or infringing items, or mislead buyers;
• probe, scan or test the vulnerability of the Service, or bypass its security or usage limits;
• reverse engineer the Service, or resell or provide it to third parties except as the plan allows;
• transmit malware or interfere with the Service or others' use of it; or
• use the Service in a way that violates a connected marketplace's rules.

5. Marketplace compliance

You remain solely responsible for your listings, orders, communications and fulfillment on eBay, Walmart, Amazon, TikTok and any other marketplace, and for complying with each marketplace's terms, policies and seller standards. The Service helps you act on those marketplaces but does not guarantee any marketplace outcome, including account standing, fees, sales or the approval of any listing. Marketplaces may change or limit their APIs or suspend your account at any time.

6. Third-party services

The Service interoperates with third-party services such as marketplaces, payment processors, carriers and AI providers. Those services are governed by their own terms, and we are not responsible for them. OneClickEbay is not affiliated with or endorsed by eBay Inc. or any other marketplace.

7. Intellectual property

The Service, including its software, design and branding, is owned by RiteScout AI Solutions and its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. You retain ownership of your data and content ("Your Data") and grant us a license to host, process and display it solely to operate and provide the Service to you.

8. AI-generated content

Some features generate content such as titles, descriptions or suggestions using AI. Output may be inaccurate, incomplete or similar to content produced for others. You are responsible for reviewing it and for its accuracy and legality before publishing, and for compliance with marketplace policies.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND UNINTERRUPTED OR ERROR-FREE OPERATION, TO THE FULLEST EXTENT PERMITTED BY LAW. Financial figures, profit calculations and arbitrage estimates are informational and not financial, tax or legal advice.

10. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RITESCOUT AI SOLUTIONS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA OR GOODWILL. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You will defend and indemnify RiteScout AI Solutions against claims, damages and expenses (including reasonable attorneys' fees) arising from Your Data, your listings and sales, your violation of these Terms or of law, or your violation of a marketplace's rules.

12. Termination

You may stop using the Service and cancel at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your use poses a risk to the Service or others. On termination your right to use the Service ends, and we will handle Your Data as described in the Privacy Policy and on our Data Deletion page. Sections that by their nature should survive termination will survive.

13. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules. You and RiteScout AI Solutions agree that any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in New Jersey, and you consent to their jurisdiction.

14. Changes to these terms

We may update these Terms. We will post the new version with a new "Last updated" date and, for material changes, notify you by email or in the Service. Continued use after the effective date means you accept the updated Terms.
